Agreement to Terms

These Terms govern your use of our website and any proposal, project, or service you engage with Fays De Studio. By accessing our site or commissioning work, you agree to these Terms.

Scope of Services

We provide design and development services including UI UX, web, and software. Each engagement is defined by a proposal or statement of work that outlines scope, deliverables, timelines, and fees.

Quotes, Fees, and Payment

• Quotes are valid for a limited time as stated in the proposal
• We may request a deposit to schedule work
• Invoices are due upon receipt unless otherwise stated
• Late payments may pause work and may incur a late fee

Client Responsibilities

• Provide timely feedback, access, and materials
• Ensure you have rights to any content or assets you supply
• Review and approve deliverables in agreed timeframes

Changes and Additional Work

Requests outside the agreed scope are handled through change requests. We will quote and seek approval before proceeding.

Intellectual Property

• Upon full payment, you receive a license or ownership to final approved deliverables as stated in the proposal
• We retain rights to pre-existing materials, frameworks, and know-how
• We may showcase non-confidential work in our portfolio and marketing

Third Party Tools and Dependencies

We may use third party services, libraries, or APIs. Their availability or changes are outside our control. Licenses or recurring fees for such tools are the client’s responsibility unless stated otherwise.

Confidentiality

We keep your confidential information private and use it only to provide services. You agree to keep our proposals, pricing, and non-public information confidential.

Warranties and Disclaimers

• We deliver services with reasonable care and skill
• We do not guarantee specific business outcomes
• The website is provided as is and as available

Limitation of Liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, or consequential damages. Our total liability for any claim is limited to the fees paid for the service giving rise to the claim.

Indemnity

You agree to indemnify Fays De Studio against claims arising from content you supply or misuse of deliverables.

Term, Suspension, and Termination

• Either party may terminate for material breach if not cured within a reasonable period
• We may pause work for non-payment or lack of required inputs
• On termination, you pay for work completed to date

Governing Law and Jurisdiction

If you contract with our Ireland office - Irish law applies and the courts of Dublin have exclusive jurisdiction.

If you contract with our Bangladesh office - Bangladesh law applies and the courts of Dhaka have exclusive jurisdiction.

General

• Entire agreement - these Terms plus any proposal or statement of work
• Assignment - neither party may assign without consent, except to a successor
• Severability - if a clause is invalid, the rest remains in effect
